8frame Inc – Terms & Conditions

1. Acceptance of Terms

By creating an account, clicking "I Agree," or using the 8frame platform (the "Service"), you agree to these Terms. If you do not agree, do not use the Service.

2. Eligibility

You must be 16+ and capable of forming a binding contract. The Service is unavailable where prohibited or to anyone previously removed.

3. Account Registration & Security

Provide accurate information and keep credentials confidential. You are responsible for activity under your account. Notify us of unauthorised use immediately.

4. Plans, Credits & Usage Limits

  1. Plans. Starter, Creator, and Agency subscriptions include monthly credits as described on 8frame.co.
  2. Credits. Credits are required to run generation jobs. You may buy Credit Packs. Credits are non‑transferable and expire 12 months after purchase; consumed credits are non‑refundable.
  3. Demo. We may offer limited demo access for evaluation; demo workspaces may be deleted at any time.
  4. Fair Use. We may throttle or suspend accounts that materially exceed plan limits or impair platform stability.

5. Fees, Billing, Taxes & Refunds

  1. Currency & Billing. Fees are charged in USD. Subscriptions renew automatically at the end of each billing period unless cancelled via the Stripe Customer Portal accessible from your account settings.
  2. Payment Processor. Payments are handled by Stripe. Where required, taxes (e.g., VAT/GST) are calculated and remitted automatically. VAT invoices are available in the Customer Portal.
  3. Proration & Schedule. Upgrades may be prorated and charged immediately; downgrades generally take effect at the end of the current period. Our billing logic is described on the Billing page.
  4. Refunds.
    • Subscriptions: You may cancel at any time. EU/EEA & UK consumers: you have a 14‑day right of withdrawal from initial purchase or renewal unless you request immediate supply of the digital service/credits during checkout; if you do so, you acknowledge loss of the statutory withdrawal right once fulfilment begins. Outside the cooling‑off window, subscription fees are non‑refundable.
    • Credit Packs & metered usage: Final and non‑refundable once delivered/consumed, except where required by law.
    • Manual Review: We operate a manual refund review process for exceptional cases (fraud, accidental duplicate purchase). Instructions are on the Billing & Refunds page.
  5. Chargebacks. You remain responsible for fees and any chargeback costs caused by unsupported disputes.

6A. Third‑Party Model Disclaimer & Provider Terms

  1. Independent Providers. The Service interoperates with third‑party image/video models. Access is as‑available; providers may rate‑limit or suspend access at any time.
  2. Provider Terms. Each generation is also governed by the applicable model provider’s terms/licences. If a conflict exists, the provider terms control for that generation.
  3. No IP Warranty. 8frame makes no representation that outputs are free of third‑party claims. You are responsible for legal clearance before commercial use.
  4. Indemnity Extension. You agree to indemnify 8frame for claims by model providers arising from your breach of their terms.

7. Licence to Use the Service

Subject to these Terms, 8frame grants you a limited, non‑exclusive, non‑transferable, revocable licence to access and use the Service for lawful purposes.

8. User Content & Generated Output

  1. Your Rights—Qualified. You retain whatever rights the applicable model licence allows; some licences impose share‑alike, attribution, or other restrictions.
  2. Licence to 8frame. You grant 8frame a worldwide, royalty‑free licence to host, store, process, transmit, reproduce, and display User Content solely to operate and improve the Service.
  3. Reuse & Training. By default, prompts/outputs may be reused in de‑identified form for benchmarking, moderation, and model improvement. You may opt out of 8frame reuse in settings; this may not control third‑party provider policies.

9. Showcase & Publicity

Unless you disable “Showcase” in settings, you grant 8frame the right to display your publicly shared workflows or outputs (with credit) in marketing materials. We may list your organisation’s name/logo as a customer, subject to reasonable trademark guidelines.

10. Acceptable Use Policy (AUP)

You agree not to:

  • Violate any law or third‑party right.
  • Upload or generate illegal, hateful, or exploitative content.
  • Produce political deepfakes, medical/clinical advice, or gambling ads.
  • Attempt to re‑identify anonymised data.
  • Mine/scrape the Service except via an official, rate‑limited API with valid credentials.
  • Interfere with security or performance.

We may suspend or terminate accounts that breach the AUP.

11. Intellectual Property Claims & EU Notice‑and‑Action

If you believe material infringes your rights, e‑mail hey@8frame.co with details (work/right, URL or workflow ID, contact info, good‑faith statement). We will investigate and act consistent with applicable EU notice‑and‑action rules.

12. Third‑Party Services & Open Source Notices

The Service interfaces with third‑party APIs and includes open‑source components under permissive licences (e.g., MIT, Apache‑2.0). Notices are available in the repository or on request.

13. Beta Features

Features labelled “Alpha,” “Beta,” or “Preview” are provided as‑is and may change or be removed at any time.

14. Service Changes & Sunset

We may modify, suspend, or discontinue features on 30 days’ notice (email or in‑app), except where urgent security or legal issues require quicker action.

15. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” 8FRAME DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON‑INFRINGEMENT, AND UNINTERRUPTED AVAILABILITY.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, 8FRAME’S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF USD 100 OR THE FEES YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM. 8FRAME IS NOT LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

17. Indemnification

You will indemnify and hold 8frame harmless from claims arising out of (a) your breach of these Terms, (b) your User Content, or (c) your violation of law or third‑party rights.

18. Governing Law & Dispute Resolution

These Terms are governed by Delaware law, excluding conflict‑of‑laws rules.

18.1 Binding Arbitration

  • All disputes shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Rules in Wilmington, Delaware, in English.
  • Opt‑Out: You may opt out of arbitration by sending written notice within 30 days of first agreeing to these Terms.
  • The arbitrator may award individual relief but may not conduct class‑wide proceedings.

Nothing limits either party’s right to seek interim injunctive relief in a competent court.

19. Termination

You may stop using the Service at any time. We may suspend or terminate access for material breach, with notice when reasonable. Sections 8–19 survive termination.

20. Miscellaneous

  • Assignment. You may not assign these Terms without 8frame’s consent.
  • Force Majeure. 8frame is not liable for events beyond reasonable control.
  • Severability. If any clause is unenforceable, the remainder remains in force.
  • Entire Agreement. These Terms (plus the Privacy Policy and any Order Form/MSA for enterprise customers) constitute the entire agreement.

21. Changes to Terms

We may update these Terms. Material revisions take effect 30 days after posting. Continued use after the effective date constitutes acceptance.
